Article 1: Introduction and Definitions
The preamble above forms an integral part of this Agreement. Below are the terms and definitions of key phrases used throughout this Agreement:
- The Store: Refers to all forms of Ocean Spa Store on the web, including electronic applications, websites, or physical commercial outlets.
- The Consumer: Any individual engaging in e commerce with the intention of purchasing products or services provided by the store through its online platform.
- The Agreement: Refers to the Terms and Conditions herein, which govern and regulate the relationship between the parties to this Agreement.
Article 2: Legal Capacity of the Consumer
- The consumer acknowledges that they possess full legal and regulatory capacity under Sharia law and applicable regulations to transact with the store, or that they are at least eighteen (18) years of age.
- The consumer agrees that any violation of this Article places full legal liability on them toward third parties.
Article 3: Nature of Obligation
- The store's obligation to the consumer is to provide the agreed upon (service or product).
- The store may provide additional related services, such as after sales services, depending on the nature and type of the (service or product) requested by the consumer.
Article 4: Usage Controls
- The consumer agrees to use the store’s electronic platform in compliance with public morals and the laws and regulations in force in the Kingdom of Saudi Arabia.
- Upon purchasing a service or product from this store, the consumer undertakes not to use said service or product in any manner that violates public morals or applicable Saudi regulations.
Article 5: Accounts and Registration Obligations
Upon applying for membership in this store as a user, you are obligated to disclose specific information and choose a username and a confidential password to access the store’s services. In doing so, you agree to:
- Be fully responsible for maintaining the confidentiality of your account credentials and password, and immediately notify the store of any unauthorized access or breach of your confidential account information.
- The store shall not be held liable, directly or indirectly, for any moral or material loss incurred due to the disclosure of your username or password.
- Use your account or membership personally, as you bear full responsibility for it. Use of your account by any third party shall serve as evidence that you authorized them to act in your name and on your behalf.
- Use the store with utmost seriousness and integrity.
- Disclose truthful, accurate, current, complete, and lawful personal information as required during registration, and update your data whenever changes occur in reality or as needed.
- The store undertakes to treat your personal information and contact details with strict confidentiality.
- If it is revealed that you disclosed false, inaccurate, outdated, incomplete, unlawful, or non compliant information with the Terms of Use, the store reserves the right to suspend, freeze, or terminate your membership, account, or store access, without prejudice to any other legal rights or legitimate means the store possesses to recover its rights and protect other consumers.
- Non compliance with any of the above grants the store's management the right to suspend, cancel, or block your access to the store’s services permanently.
Article 6: Electronic Communications and Official Communication Channels
- The parties to this Agreement agree that official communications shall take place via the email address registered on the platform.
- The consumer agrees that all agreements, announcements, statements, and other electronic communications satisfy all legal requirements and stand as legally binding equivalents to written communications.
- The consumer agrees that the store management may communicate with them regarding any provisions of this Agreement or transaction updates by broadcasting general notifications to all consumers or specific store users.
Article 7: Amendments to the Usage Agreement and Fees
- If any article or clause in this Agreement is invalidated or rendered unenforceable, the validity and enforceability of the remaining articles, clauses, and provisions shall remain unaffected and valid until further notice from store management.
- This Agreement, as amended from time to time as circumstances require, constitutes the complete understanding and agreement between the (Consumer) and the (Store).
- The store may impose fees on certain consumers depending on the requested offers, products, or services, or as mandated by taxes or platform related expenses.
- The store reserves the right to add, increase, decrease, or discount any fees or expenses under the provisions of this Usage Agreement for any registered user, for any reason.
Article 8: Payment Methods Available at the Store
- Through its partners, the store provides an online payment system accessible via the payment options available on the store platform or through any other payment method made available by the store from time to time.
- The store undertakes to price the services or products offered in accordance with recognized fair market value.
- The store is committed to issuing invoices and receipts for all payments and transactions generated on its platform, providing the consumer with a invoice for every service or product purchase.
- The store undertakes to maintain standard accounting practices within its online platform to ensure regulatory, economic, commercial, and legal compliance under this Agreement.
Article 9: Intellectual Property
- All intellectual property rights related to the store belong exclusively to the store, whether created prior to or following the establishment of this electronic platform.
- The consumer respects all intellectual property rights belonging to the store, including the store's name, logos, trademarks, and symbols displayed on the platform, all of which are fully owned by the store.
Article 10: Store Liability
- The store commits to conducting its commercial activities through this platform lawfully, in accordance with applicable Saudi Arabian regulations and the provisions herein.
- The store shall not be held liable for any claims arising from error or negligence, whether direct, indirect, or incidental, caused by the consumer or a third party (such as shipping companies).
- Ocean Spa, its employees, owners, and legal representatives guarantee that all offered (products or services) are sound, legal, authorized under the laws of the Kingdom of Saudi Arabia, and intended for lawful use.
Article 11: Restriction of Access or Membership
The store reserves the right to suspend, cancel, or restrict a consumer’s membership or access to platform services at any time, without prior notice, and for any reason whatsoever.
Article 12: Governing Law and Jurisdiction
This Usage Agreement shall be governed by, construed, and enforced in accordance with the laws, regulations, and statutes in force in the Kingdom of Saudi Arabia, and is subject to the exclusive jurisdiction of Saudi authorities.
Article 13: General Provisions
In the event that any clause or provision in this Agreement is declared invalid or unenforceable, such invalidity shall not affect the remaining provisions, which shall remain in full force and effect until further notice from store management.
This Usage Agreement, as amended from time to time, constitutes the complete contractual framework and agreement between the store and the consumer. Both parties explicitly agree to the following:
- Language: The Arabic language is the official language governing the interpretation of this Agreement and any translated versions thereof.
- Pricing Updates: All prices displayed on the store platform are subject to change from time to time.
- Promotions: Promotional or marketing offers provided by the store are temporary, and the store reserves the right to modify or terminate them at any time.
- Compliance: Both parties agree to interact in full compliance with Sharia principles and all applicable laws and regulations governing commercial transactions between stores and consumers.
- Final Authority: Decisions issued by store management regarding policy enforcement are final and binding within the scope of this Agreement.
